1. Agreement
By accessing toolsigma.com or creating a ToolSigma account, you agree to these Terms of Service ("Terms") and our Privacy Policy. If you are using ToolSigma on behalf of a brokerage or company, you represent that you have authority to bind that organization.
2. The Services
ToolSigma provides software tools for real estate professionals, including marketing websites, listing management, lead capture, calendars, and related features (the "Services"). Features may change as we improve the product. We may add, modify, or discontinue functionality with reasonable notice when practical.
3. Accounts
- You must provide accurate registration information and keep it current.
- You are responsible for activity under your account and for safeguarding passwords.
- Notify us promptly of unauthorized access at hello@toolsigma.com.
- You must be at least 18 years old and legally able to enter contracts.
4. Plans, trials, and billing
Paid plans and trial terms are described on our pricing and plans and during checkout. Prices shown on the website are intended to match our Paddle catalog. Payments are processed by Paddle (or another processor we designate). By purchasing, you also agree to the applicable checkout terms presented by the payment provider.
Subscriptions renew automatically until canceled. You can manage or cancel according to the options in your account (or via the payment provider’s customer portal when applicable). See our Refund Policy for refund details.
5. Acceptable use
You agree not to:
- Use the Services for unlawful, deceptive, or harmful activity
- Violate fair housing, marketing, or other laws applicable to your business
- Upload malware, scrape without permission, or attempt to breach security
- Resell or misuse the Services except as expressly allowed
- Infringe intellectual property or privacy rights of others
We may suspend or terminate accounts that violate these Terms.
6. Your content
You retain ownership of listings, media, copy, and other content you submit ("Customer Content"). You grant ToolSigma a limited license to host, process, and display Customer Content solely to operate the Services. You represent that you have rights to the Customer Content you upload and that it does not violate law or third-party rights.
7. Our intellectual property
ToolSigma branding, software, and documentation are owned by us or our licensors. These Terms do not grant you rights to copy, modify, or redistribute our software except as needed to use the Services.
8. Third-party services
The Services may integrate with third parties (for example GoHighLevel, Google Calendar, or Paddle). Those services are governed by their own terms. We are not responsible for third-party outages or policies.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted service or that results will meet your expectations.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLSIGMA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO TOOLSIGMA FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE CLAIM.
11. Indemnity
You will defend and indemnify ToolSigma against claims arising from your Customer Content, your use of the Services, or your violation of these Terms or applicable law.
12. Termination
You may stop using the Services at any time. We may suspend or terminate access for non-payment, violation of these Terms, or risk to the platform. Upon termination, your right to use the Services ends; sections that by nature should survive will survive.
13. Changes to Terms
We may update these Terms. Material changes will be reflected by the "Last updated" date. Continued use after changes become effective constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules, unless mandatory consumer protections in your jurisdiction provide otherwise.
